Terms of Service

Last updated: 23 October 2026

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Elora platform (the "Service"), provided by Fully OnBrand Ltd, a company registered in England and Wales under company number 17075634, with its registered address at 5 Brayford Square, London, E1 0SG ("Elora", "we", "us", or "our"). Elora is a trading name of Fully OnBrand Ltd.

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. "You" and "your" refer to the individual or organisation accessing the Service.

If you do not agree to these Terms, you must not access or use the Service.

The Service is provided for business use only. By creating an account or agreeing an Order Form, you confirm you are acting for purposes relating to your trade, business or profession and not as a consumer. Consumer cancellation rights, including the 14-day cancellation period, do not apply. Free trials are provided without charge.

2. Definitions

"Content" means any text, documents, files, images, or other materials that you upload, submit, or create within the Service.

"Brand Documents" means the brand strategy, guidelines, messaging, compliance rules, and any other documents or structured information you provide to the Service to serve as the reference standard against which Content is aligned.

"Alignment Analysis" means the automated review of your Content against your Brand Documents, identifying where Content may not align with them and, where available, suggesting how this might be resolved.

"Workspace" means one distinct set of Brand Documents within the Service. A brand customer has one Workspace. An agency customer has one Workspace per client brand.

"Team" means a content-producing function working within a brand customer's Workspace, such as communications, marketing, or ecommerce. Teams are not headcount units.

"Authorised Users" means individuals you invite and authorise to access the Service under your Organisation's account.

"Order Form" means the written confirmation of your selected tier, price, included Workspaces or Team places, monthly Review allowance, and start date, issued by us and agreed by you. Where you upgrade from a free trial, the plan and price we confirm with you in writing form the Order Form. The Order Form forms part of these Terms.

"Subscription" means the paid plan set out in your Order Form.

"Organisation" means the company, partnership, or other legal entity on whose behalf you use the Service.

"Client Content" means Content that an Authorised User of an agency Organisation produces for or on behalf of a client brand.

"Review" means each submission of Content for Alignment Analysis, including each re-submission of the same Content after changes.

3. The Service

Elora is a brand consistency platform. It reviews briefs, campaigns and content an organisation creates against that organisation's own brand strategy, messaging, and guidelines, before anything goes live. The Service includes:

(a) Upload and storage of Brand Documents, or capture of equivalent information through a structured template;

(b) Creation and management of Workspaces and campaigns;

(c) Submission and management of Content for alignment;

(d) Alignment Analysis of Content against Brand Documents, identifying where Content may not align and, where available, suggesting how this might be resolved;

(e) Resolution of identified issues by your Authorised Users, with a record of what was raised, how it was resolved, by whom, and when;

(f) Reporting on alignment activity and recurring patterns.

*Scope of the Service. The Service identifies potential brand inconsistency. It does not generate Content, does not operate as a copy editor, and does not grant approval or sign-off. Content marked Aligned within the Service has been reviewed against your Brand Documents and the issues raised have been resolved by your own Authorised Users. Any approval process your Organisation operates sits outside the Service.*

4. Important limitations of Alignment Analysis

You acknowledge and agree that:

(a) Alignment Analysis is a tool to assist your review process. It does not replace professional legal, regulatory, or compliance advice.

(b) Alignment Analysis is designed to identify where your Content may not align with your Brand Documents. As with any review, whether carried out by people or by technology, it cannot guarantee to catch every inconsistency, error or compliance issue, and it may occasionally raise a point that your team decides is not an issue. The final judgement on your Content rests with your Authorised Users.

(c) Elora does not provide legal advice, regulatory guidance, or compliance certification. Alignment Analysis does not constitute an opinion on whether your Content meets any legal or regulatory standard.

(d) You are solely responsible for ensuring your Content complies with all applicable laws, regulations, and industry standards, including without limitation FCA rules, Consumer Duty obligations, and any other regulatory requirements that apply to your Organisation.

(e) All decisions about whether and how to act on an identified issue remain with your Authorised Users. Elora does not approve or reject Content.

(f) AI technology is evolving and may not always produce consistent or accurate results. You should not rely solely on Alignment Analysis for compliance or risk management decisions.

5. Account and access

5.1 You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

5.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5.3 Organisation administrators may invite Authorised Users to the Organisation's account. You are responsible for ensuring that all Authorised Users comply with these Terms.

5.4 We may suspend your account immediately where reasonably necessary to protect the Service, our systems or other customers. Termination is governed by clause 9.

6. Your data and Content

6.1 Ownership. You retain all ownership rights in your Content and Brand Documents. Nothing in these Terms transfers ownership of your data to Elora.

6.2 Licence. You grant Elora a limited, non-exclusive licence to access, process, store, and analyse your Content and Brand Documents solely for the purpose of providing the Service to you.

6.3 No training. We do not use your Content or Brand Documents to train external AI models. Your data is processed only to deliver the Service to your Organisation.

6.4 Isolation. Your data is stored with organisation-level isolation. Other customers cannot access your Content or Brand Documents.

6.5 Learning. Where the Service adapts to your Organisation's decisions over time, that adaptation is confined to your own Workspaces and is not applied to any other customer.

6.6 Deletion. Your Content and Brand Documents are retained for 30 days following termination of your Subscription and are then deleted automatically. We will delete your data sooner on written request, except where we are required by law to retain it.

7. Acceptable use and restrictions

You agree not to:

(a) Use the Service for any unlawful purpose or in violation of any applicable law or regulation;

(b) Upload Content that is defamatory, obscene, or infringes any third party's intellectual property rights;

(c) Attempt to gain unauthorised access to the Service or any related systems;

(d) Reverse engineer, decompile, or disassemble any part of the Service;

(e) Share your account credentials with anyone outside your Organisation;

(f) Copy, reproduce, redistribute, sublicence, resell, or lease the Service itself, or make the Service available to any third party as a product or service in its own right;

(g) Use any automated means, including bots, scrapers, crawlers, spiders, or data mining tools, to access, extract, download, index, or collect data from the Service;

(h) Systematically extract, compile, or aggregate Alignment Analysis outputs or other outputs of the Service for any purpose other than your Organisation's own use of the Service as intended;

(i) Attempt to extract, replicate, reverse engineer, or derive the algorithms, models, training data, analytical methodology, or any other proprietary technology underlying Alignment Analysis;

(j) Use the Service, Alignment Analysis outputs, or any data derived from the Service to build, train, or develop a software product or platform that performs automated alignment or reviewing of content against brand guidelines, messaging frameworks, or compliance rules;

(k) Remove, obscure, or alter any proprietary notices, labels, or branding on or within the Service.

Permitted agency use

Where your Organisation is an agency, consultancy, or other service provider, you may use the Service to align Client Content that you produce for or on behalf of your clients, within the Workspaces covered by your Subscription. You may invite client personnel to review Client Content within those Workspaces. Clauses 7(f) and 7(j) do not restrict this use.

Your Subscription does not extend to Content created by your client's own teams. Where a client wishes to align Content created by its own teams, that client requires its own Subscription.

You are responsible for having the rights necessary to upload Client Content and your clients' Brand Documents, and for ensuring your use of the Service is consistent with your obligations to your clients.

*Nothing in this clause 7 restricts your Organisation from providing brand, marketing, communications, compliance, or advisory services to your own clients, including services that involve reviewing content against brand guidelines by human judgement.*

8. Subscription and payment

8.1 Fees. You agree to pay the fees set out in your Order Form. Fees are exclusive of VAT unless otherwise stated.

8.2 Billing. Subscriptions are billed monthly or annually, as set out in your Order Form. Payment is due in advance.

8.3 Trials. Free trials last 14 days from the date you create your account. You do not need to provide payment details to start a trial, and you will not be charged for it. To keep using the Service after 14 days, request an upgrade from your account or contact us at support@eloratech.co. If you do not, your access will end automatically when the trial ends. Your Content and Brand Documents will be kept for 30 days in case you decide to upgrade, and will then be deleted.

8.4 Additions. Additional Workspaces, Team places or agency access added during a billing period are charged pro rata. On monthly Subscriptions, the charge appears on your next invoice. On annual Subscriptions, additions are charged pro rata from the annual price of the addition to your existing renewal date, and renew with your Subscription.

8.5 Price changes. We may change our pricing with 30 days' written notice. Price changes take effect at the start of your next billing period and do not apply to any rate expressly stated in your Order Form to be fixed for a defined term.

8.6 Failed and late payment. If a payment fails or an invoice is not paid by its due date, we will notify you and may retry the payment. If payment remains outstanding 14 days after that notice, we may suspend access to the Service until it is received. Your data will not be deleted during suspension. If payment remains outstanding 30 days after suspension, we may terminate your Subscription under clause 9.4.

8.7 Billing errors. If you believe you have been charged incorrectly, including a charge made after you cancelled or an amount different from your Order Form, please tell us at [support@eloratech.co](mailto:hello@eloratech.co) within 60 days of the charge. Where a charge was made in error, we will refund or credit it in full within 14 days of confirming the error. We ask that you contact us before raising a dispute with your bank or card provider so we can put it right quickly.

8.8 Review allowance.

(a) Your Subscription includes a monthly allowance of Reviews, as set out in your Order Form. Allowances are set well above typical use and are intended to prevent excessive or automated re-submission, not to limit normal working. You can see the Reviews used in the Analytics area of the Service.

(b) The allowance resets at the start of each calendar month. Unused Reviews do not carry forward. On an annual Subscription the allowance remains monthly and is not pooled across the year.

(c) Additional Workspaces, Team places or agency access added under clause 8.4 increase your monthly allowance by the amount stated in your Order Form.

(d) If your usage exceeds your allowance, we will contact you before taking any action. We may agree with you a move to a more suitable tier or additional places. If usage continues above the allowance, we may limit further Reviews until the start of the next month.

9. Term and termination

9.1 These Terms commence when you first access the Service and continue for the duration of your Subscription.

9.2 Monthly subscriptions. Either party may terminate by giving 30 days' written notice before the next billing date.

9.3 Annual subscriptions. Either party may terminate by giving 60 days' written notice before the renewal date. Annual subscriptions are non-refundable once the billing period has begun.

9.4 Termination for breach. Either party may terminate immediately if the other party materially breaches these Terms and fails to remedy the breach within 14 days of receiving written notice. If this agreement is terminated by you under this clause, or by us other than for your breach, we will refund any fees paid in advance for the period after termination.

9.5 Effect of termination. When your Subscription or trial ends, your access to the Service will cease. You can export your Content and Brand Documents from within the Service while you have access. After that, if you contact us within 30 days we will provide you with a copy. We will retain your data for 30 days, after which it will be deleted unless otherwise required by law.

9.6 Survival. Clauses 7 (Acceptable use and restrictions), 10 (Intellectual property), 11 (Confidentiality), 12 (Limitation of liability), and 13 (Indemnity) shall survive termination of these Terms.

10. Intellectual property

10.1 Elora retains all intellectual property rights in the Service, including the software, algorithms, user interface, documentation, and any improvements or modifications.

10.2 Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

10.3 You retain all intellectual property rights in your Content and Brand Documents.

10.4 Alignment Analysis outputs, including identified issues, suggested resolutions, categorisations, and reporting, are generated by Elora's proprietary technology. You may use those outputs for your Organisation's own purposes in connection with the Service. All intellectual property rights in the methodology, algorithms, categorisation frameworks, and analytical models that produce them remain the exclusive property of Elora.

10.5 You shall not reproduce, publish, distribute, or disclose the structure, format, or methodology of Alignment Analysis outputs to any third party for the purpose of replicating, benchmarking against, or informing the development of a competing software product or service.

10.6 You shall not use knowledge, data, or outputs obtained through your use of the Service to design, develop, market, or operate a software product or platform that provides automated alignment or reviewing of content against brand guidelines, messaging frameworks, or compliance rules, whether using AI or otherwise, without Elora's prior written consent. Nothing in this clause restricts your Organisation from providing brand, marketing, communications, compliance, or advisory services to your own clients.

11. Confidentiality

11.1 Each party agrees to keep confidential any information received from the other party that is marked as confidential or that would reasonably be understood to be confidential.

11.2 This obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law or regulation.

11.3 Your Content and Brand Documents are treated as your confidential information. Where your Content includes material belonging to your own clients, we treat it with the same obligation.

12. Limitation of liability

12.1 Nothing in these Terms excludes or limits either party's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

12.2 Subject to clause 12.1, Elora's total aggregate liability to you under or in connection with these Terms (whether in contract, tort, negligence, or otherwise) shall not exceed the total fees paid by you to Elora in the 12 months immediately preceding the event giving rise to the claim.

12.3 Subject to clause 12.1, Elora shall not be liable for any: (a) indirect or consequential losses; (b) loss of profit, revenue, or anticipated savings; (c) loss of data beyond the data stored within the Service; (d) loss of business opportunity; (e) regulatory fines, penalties, or enforcement action; or (f) damage to reputation or goodwill.

12.4 You acknowledge that Alignment Analysis is provided as a tool to assist, not replace, professional judgement. Elora is not liable for any decision made, or action taken or not taken, in reliance on it.

12.5 Elora does not warrant that the Service will be uninterrupted, error-free, or free from vulnerabilities.

13. Indemnity

You agree to indemnify and hold harmless Elora and its officers, directors, and employees from any claims, losses, damages, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your Content or Brand Documents, including any Client Content or client Brand Documents you upload; or (c) any claim that your Content infringes a third party's intellectual property rights.

14. Data protection

14.1 Both parties agree to comply with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

14.2 To the extent that Elora processes personal data on your behalf in providing the Service, the parties agree to the terms set out in our Data Processing Agreement, which is available on request and forms part of these Terms.

14.3 Details of how we collect, use, and protect personal data are set out in our Privacy Policy.

15. Security

15.1 We maintain appropriate technical and organisational measures designed to protect your Content and Brand Documents against unauthorised access, loss, alteration, or disclosure. These include encryption of data in transit and at rest, role-based access controls, organisation-level data isolation, and logging of access to the Service.

15.2 Access to your Content by Elora personnel is limited to what is necessary to operate and support the Service, is logged, and is not used for any other purpose.

15.3 We will notify you without undue delay after becoming aware of any personal data breach affecting your data, and will provide the information reasonably necessary for you to meet your own regulatory obligations.

15.4 You are responsible for the security of your account credentials and for managing the access rights of your Authorised Users, including removing access promptly when someone leaves your Organisation.

16. Third-party services

The Service uses third-party infrastructure and AI services to operate. A current list of sub-processors is available on request. Elora is responsible for ensuring that sub-processors comply with equivalent data protection obligations.

17. Changes to these Terms

We may update these Terms from time to time. We will notify you of any material changes at least 30 days before they take effect, by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. General provisions

18.1 Governing law. These Terms are governed by the laws of England and Wales.

18.2 Jurisdiction. The courts of England and Wales have exclusive jurisdiction over any dispute arising from or in connection with these Terms.

18.3 Entire agreement. These Terms, together with the Order Form, Data Processing Agreement, and Privacy Policy, constitute the entire agreement between the parties. Where the Order Form conflicts with these Terms, the Order Form takes precedence.

18.4 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18.5 Waiver. A failure to exercise or delay in exercising any right under these Terms does not constitute a waiver of that right.

18.6 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

18.7 Force majeure. Neither party is liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.
